Business Setup in Dubai from India: ODI, LRS and Tax

Business setup in Dubai from India is possible under Indian law: you own the company as an overseas investment, sent through one bank in India and reported every year.

The short answer

A resident Indian can own a Dubai free zone company under India's overseas investment rules. As of October 2026, Standard (company and one residence visa) is AED 23,136 at Meydan Free Zone or AED 23,436 at IFZA.

Premium, which is company, one residence visa and business bank account opening assistance, is AED 28,136 at Meydan or AED 28,436 at IFZA. Bank account opening is subject to each bank's KYC, compliance review and final approval. We prepare the file, pre-check it against the bank's requirements, and if one bank declines we apply to the next.

Your shares count as overseas direct investment (ODI), which India's Overseas Investment Rules define as investment by way of acquisition of unlisted equity capital of a foreign entity, or subscription as a part of its memorandum of association (rule 2(1)(q)). The money leaves India through one bank under the Liberalised Remittance Scheme (LRS), the RBI scheme that lets a resident individual send up to USD 250,000 abroad a financial year (checked 16 October 2026). On LRS remittances above ten lakh rupees, the bank also collects tax at source (TCS): tax it collects from you when it sends the money, which the Income-tax Act, 2025 counts as tax paid on your behalf (sections 394 and 390(5), Income Tax Department, checked 16 October 2026).

Meydan Free Zone says the company can be set up from India and that you visit Dubai for the residence visa (checked 16 October 2026). If the company's key decisions are made in India, the Income-tax Act, 2025 can treat it as resident in India.

Key takeaways

  • A resident Indian can own a Dubai free zone company as ODI under India's Overseas Investment Rules, 2022, if the company is an operating business outside financial services, real estate activity and gambling and, where you have control in it, has no subsidiary or step down subsidiary (Ministry of Finance rules on the RBI site, checked 16 October 2026).
  • Every transaction goes through one designated bank in India: Form FC first, a Unique Identification Number (UIN) for the Dubai company before the money for the shares leaves, proof of your shares within six months, and an annual performance report by 31 December each year (RBI, checked 16 October 2026).
  • Your setup costs, the money for your shares and your other LRS remittances in the financial year, such as travel, gifts and studies abroad, all count towards the RBI's LRS limit of USD 250,000, and on LRS remittances above ten lakh rupees the bank collects tax at source at 20% for purposes other than education or medical treatment (Income Tax Department, section 394, checked 16 October 2026).
  • A Dubai company whose key management and commercial decisions are made in India can be resident in India for tax, under section 6(10) of the Income-tax Act, 2025 (Income Tax Department, checked 16 October 2026).
  • As of October 2026, Standard (company and one residence visa) is AED 23,136 at Meydan or AED 23,436 at IFZA. Meydan Free Zone says the licence can be set up from India; the residence visa brings you to Dubai for the medical test and possibly Emirates ID biometrics (u.ae, checked 16 October 2026).

What does Indian law allow you to own in Dubai?

Indian law lets a resident individual own shares in a Dubai company as overseas direct investment, under the automatic route, if the company carries on a bona fide business activity and meets the conditions below (RBI Master Direction on Overseas Investment, para 3, checked 16 October 2026). The automatic route, which the Master Direction also calls general permission, means no separate RBI approval when the investment fits the rules.

Three texts set those rules: the Foreign Exchange Management (Overseas Investment) Rules, 2022 (Ministry of Finance, G.S.R. 646(E)), the RBI's Overseas Investment Regulations, 2022, and the RBI Master Direction on Overseas Investment, updated as on 1 April 2026. Schedule III of the Rules covers resident individuals, so the rest of this guide is written for individuals. Here is what they say:

Do you need RBI approval? No separate approval, if the investment fits these rules. Your designated bank checks the file, reports it and obtains the UIN, which the RBI says is not an approval (Master Direction, para 16(3)). A case under the approval route goes through your bank to the RBI regional office, on the RBI's PRAVAAH portal (Master Direction, para 3(3), as amended on 1 April 2026).

How does business setup in Dubai from India work, step by step?

Business setup in Dubai from India runs on two tracks at once: the UAE licence and visa, and the Indian filings through one bank in India. The order below works for both, with the rule or source for each step, all checked 16 October 2026.

Four terms you will meet in the Indian steps

Designated AD bank
An AD bank (authorised dealer Category-I bank) is a bank authorised under section 10(1) of the Foreign Exchange Management Act, counting only its branches in India; your designated AD bank is the one you choose for the Dubai company (OI Rules, rule 2(1)(b); OI Regulations, reg 9(3)).
Form FC
Form FC is the form on which you report your investment in the foreign company, filed with its supporting documents through your designated bank (Master Direction, para 3(2)).
UIN
A UIN is the Unique Identification Number the RBI gives the foreign company, which your bank must obtain before the money for the shares leaves India (OI Regulations, reg 9(2)).
APR
The annual performance report (APR) is the yearly report you file on each foreign company in which you hold ODI, due by 31 December (OI Regulations, reg 10(4)).

2Choose one bank in IndiaIndiaYou designate one AD bank. Every transaction for the Dubai company then goes through it.OI Regulations, reg 9(3)
3Pay setup costs before the company existsIndiaYour bank may allow a remittance towards pre-incorporation expenses, once it is satisfied they are reasonable, up to USD 100,000 per foreign entity. For a resident individual it counts towards the LRS limit. You can later capitalise these expenses as ODI or account for them as expenses.Master Direction, para 27(6)
4Apply for the licence from IndiaUAEMeydan Free Zone says a standard free zone setup can be done remotely, with a passport, a passport-size photo, your chosen activities and basic KYC details, and that PAN is not needed for it. A sole owner has control, so the report is based on the Dubai company's audited accounts: the unaudited option in reg 10(4) is only for investors without control. Missed an Indian filing? It can still be made with a late submission fee, within three years of the due date (reg 11; Master Direction, para 18).

How much can I send under LRS, and what tax is collected at source?

Under the RBI's Liberalised Remittance Scheme you can send up to USD 250,000 abroad a financial year, and on LRS remittances above ten lakh rupees your bank collects tax at source at 20% for purposes other than education or medical treatment (RBI and Income Tax Department, both checked 16 October 2026). Sending more than USD 250,000 in a year needs the RBI's prior permission (LRS Master Direction, para 7).

One limit for everything

Private visits, gifts, studies abroad and other current account remittances in the same year count towards the same USD 250,000 (LRS Master Direction, para 7).

Family members

Remittances can be consolidated for family members who each comply with the scheme. For an investment, though, other family members cannot club their limits unless they co-own it (para 4).

PAN, and no bank credit

PAN is mandatory for LRS remittances (para 16). Banks are told not to extend any kind of credit facility to resident individuals to fund capital account remittances under the scheme (para 12).

Tax collected is tax paid

Section 390(5) of the Income-tax Act, 2025 treats tax collected at source and paid to the government as tax paid on behalf of the person it was collected from. Section 394 does not say in terms whether the 20% applies to the whole remittance or only the part above ten lakh rupees. Ask your bank what it will collect, and your chartered accountant how the credit is claimed.

These are Indian government figures, quoted with their publisher. Our package prices stay in AED.

What does this look like for one founder? A worked example

A worked example shows how the Indian rules and our package prices fit together for one founder who keeps living in India.

Example: you live in Pune, run a software consultancy, and want a Dubai free zone company with one residence visa while you stay in India. You are a hypothetical reader, not one of our clients. The figures are the official ones checked on 16 October 2026 and our package prices as of October 2026.

  1. 1

    The package

Standard is AED 23,136 at Meydan or AED 23,436 at IFZA, and you pick one zone, since the two are separate packages. If you also want help with the company account, Premium, which is company, one residence visa and business bank account opening assistance, is AED 28,136 at Meydan or AED 28,436 at IFZA. Bank account opening is subject to each bank's KYC, compliance review and final approval. We prepare the file, pre-check it against the bank's requirements, and if one bank declines we apply to the next.

  2. 2

    The activity check

Software consultancy is not real estate activity or gambling. Under Schedule III it would count as financial services only if, carried out in India, it needed registration with or regulation by a financial sector regulator in India. If it does not, the activity passes the test for a resident individual, and your bank checks the file against these rules before the money leaves.

  3. 3

    The money

Your setup costs (Master Direction, para 27(6)), the money for your shares (Schedule III, para 1(1)) and other remittances such as a child's studies abroad (LRS, para 7) all draw on the same USD 250,000 LRS limit for the financial year. The rupee cost depends on your bank's rate on the day, which is why this example stays in AED.

  4. 4

    The tax at source

Once your LRS remittances go above ten lakh rupees, the rate for a remittance like this one is 20% (section 394), and the section does not say in terms whether it applies to the whole amount or only the part above ten lakh rupees. What the bank collects depends on the rupee amount on the day and on what you have already sent, so ask your bank before you remit. Whatever is collected counts as tax paid on your behalf (section 390(5)).

  5. 5

    The paperwork in India

Before the money for your shares leaves, you file Form FC through your one bank, and the bank obtains the UIN. Within six months you give the bank your share certificate or other proof. Every year by 31 December you file the APR, based on the Dubai company's audited accounts and certified by a chartered accountant.

  6. 6

    The trip

If you choose Meydan, you apply for the licence from Pune, which Meydan Free Zone says can be done remotely. You then fly to Dubai for the residence visa: the medical test, and possibly a visit to an ICP service centre for Emirates ID biometrics (u.ae, checked 16 October 2026).

  7. 7

    Living in India afterwards

A UAE residence visa generally lapses after more than 180 days in a row outside the UAE, and u.ae lists investors holding valid residence visas among the exceptions, so ask ICP whether yours qualifies. You also make the company's key decisions from Pune, so ask a chartered accountant in India about place of effective management (next section) before the company starts trading.

The example sets out the rules, not advice for your case: your bank and a chartered accountant in India confirm the Indian side. For the UAE side: Send your business activity and visa count on WhatsApp and you get an itemised written quote.

Where are you and your Dubai company taxed if you stay in India or move?

A Dubai company run from India can be resident in India for tax if its place of effective management is in India, and you stay resident in India in any tax year in which one of the day tests in section 6 of the Income-tax Act, 2025 applies to you. Place of effective management is the place where key management and commercial decisions necessary for the business as a whole are, in substance, made (section 6(10)).

India's Income-tax Act, 2025 replaced the 1961 Act from 1 April 2026 (CBDT press release of 1 April 2026), and its tax year runs April to March (section 3). The India-UAE DTAA is the agreement between the two countries for the avoidance of double taxation; its Article 4 decides residence for a person or company resident in both. What the Act and the treaty say, read on the Income Tax Department's site on 16 October 2026:

QuestionWhat the text saysWhere
Is the Dubai company resident in India?A company is resident in India in a tax year if its place of effective management is in India in that year: the place where key management and commercial decisions necessary for the business as a whole are, in substance, made.Income-tax Act, 2025, section 6(10)
Is the company resident in the UAE under the treaty? The treaty treats a company as a UAE resident if it is incorporated in the UAE and managed and controlled wholly in the UAE. A company resident in both countries is treated as resident where its place of effective management is.India-UAE DTAA, Article 4(1)(b) and 4(4)
Am I resident in India?Yes, in a tax year in which you are in India for 182 days or more, or for 60 days or more and 365 days or more in the four years before.Section 6(2)
I leave India to work abroadFor a citizen who leaves India in a tax year for the purposes of employment outside India, the 60-day test does not apply.Section 6(3)(b)
I visit India after movingFor a citizen or person of Indian origin on a visit, the 60-day test does not apply, unless total income other than from foreign sources exceeds fifteen lakh rupees: then it reads 120 days.Section 6(4) and 6(5)
Deemed residenceA citizen with total income (other than from foreign sources) above fifteen lakh rupees who is not liable to tax in any other country by reason of domicile, residence or similar criteria is deemed resident in India, and is not ordinarily resident.Section 6(7) and 6(13)(c)
Resident in both countriesThe treaty treats an individual as UAE resident if present in the UAE for at least 183 days in the calendar year. For someone resident in both, it looks in turn at permanent home, centre of vital interests, habitual abode and nationality.India-UAE DTAA, Article 4(1)(b) and 4(3)

If you stay in India

If you run the Dubai company from India, where its key decisions are made decides whether India treats it as resident. The Income Tax Department's page on companies (last updated 30 April 2026, checked 16 October 2026) says its guidelines on place of effective management do not apply to a company with turnover or gross receipts of INR 50 crore or less in a financial year, citing CBDT Circular No. 8 of 23 February 2017.

That circular was issued under the 1961 Act, and section 536(2)(j) of the 2025 Act keeps such circulars in force so far as they are not inconsistent with it. How this applies to your company is a question for a chartered accountant in India, before the company starts trading.

If you move to Dubai

Section 6(3)(b) speaks of employment outside India, and whether running your own Dubai company counts is a point for your chartered accountant. The UAE does not levy income tax on individuals (u.ae, checked 16 October 2026), so ask about the deemed residence clause in section 6(7) at the same time.

The India-UAE treaty

The agreement has been in force since 22 September 1993. The Income Tax Department also publishes a synthesised text with the changes made by the Multilateral Convention to Implement Tax Treaty Related Measures (the MLI), signed by India in 2017 and the UAE in 2018; for India those changes apply from 1 April 2020.

The UAE side

0% personal income tax. Corporate tax is 9% only on profit above AED 375,000, and registration is included in every package from Standard upward. The rate and threshold are set out by the UAE Ministry of Finance (checked 16 October 2026).

For UAE corporate tax registration and returns, see our UAE corporate tax guide for 2026.

This section sets out what the law says. It is not tax advice for your situation: check with a chartered accountant in India and a tax adviser in the UAE before you act.

What happens when you travel to the UAE for the visa?

The residence visa is the part of a Dubai setup from India that needs you in the UAE, along with any in-person check your bank asks for: u.ae says applicants aged 18 and over take a medical test and pass a security check (residence visa page, updated 28 September 2026), and that you might need to visit an ICP service centre to give biometrics for the Emirates ID (Emirates ID page, updated 17 February 2026; both checked 16 October 2026). ICP is the Federal Authority for Identity, Citizenship, Customs and Port Security, and the Emirates ID is the UAE identity card that every resident must apply for.

  • Getting there

How an Indian passport holder enters the UAE for the setup trip, and which visa route fits, is in our guide to Dubai business visa requirements.

  • Medical test and Emirates ID

Plan the trip around the medical test and, if you need to give biometrics in person, a visit to an ICP service centre. The same u.ae Emirates ID page says you apply for the card through the ICP website or an accredited typing centre.

  • The residence visa through your company

Standard includes one UAE residence visa through your company. How residence through your own company works, and the documents, are in our guide to UAE residence through your own company.

  • Living mostly in India

A UAE residence visa generally lapses after more than 180 days in a row outside the UAE, and u.ae (checked 16 October 2026) lists investors holding valid residence visas among the exceptions. The package visa at IFZA is a manager or employee visa, so ask ICP whether the investor exception covers yours before you rely on it.

Which bank accounts do you need in Dubai and in India?

A Dubai company from India means bank accounts on two sides: the company's business account in the UAE, which each bank decides on, and your own accounts in India, which the RBI says are to be designated as NRO accounts if you become a person resident outside India.

The company account in Dubai

Bank account opening is subject to each bank's KYC, compliance review and final approval. We prepare the file, pre-check it against the bank's requirements, and if one bank declines we apply to the next.

How it works, bank by bank: corporate bank account opening in the UAE

Your Indian accounts, if you move

  • An NRI, in the RBI's words, is a person resident outside India who is a citizen of India (Master Direction on Deposits and Accounts, updated as on 2 September 2026, para 2.4, checked 16 October 2026).
  • When a resident Indian becomes a person resident outside India, the RBI says existing resident accounts should be designated as NRO accounts (para 6.10).
  • An NRO (Non-Resident Ordinary) account is for bona fide rupee transactions. NRIs and persons of Indian origin can repatriate NRO balances up to USD 1 million, subject to the conditions in the Remittance of Assets Regulations (para 6.8).
  • An NRE (Non-Resident External) account is for NRIs and persons of Indian origin. It takes inward remittances, and remittances out of India from it are permitted (paras 4.1 and 4.4).
  • For your accounts, the RBI works from the definition of a person resident outside India in section 2(w) of the Foreign Exchange Management Act (para 6.1), not from the Income-tax Act day counts above. LRS and the overseas investment rules are written for persons resident in India.

Questions founders in India ask

Can an Indian resident own a company in Dubai?

Yes, a resident individual in India can own a Dubai company as overseas direct investment under Schedule III of India's Overseas Investment Rules, 2022 (Ministry of Finance, as published on the RBI's site, checked 16 October 2026). The rules allow this in an operating company that is not in financial services and, if you have control in it, has no subsidiary or step down subsidiary. Rule 19 also excludes real estate activity, gambling and rupee-linked financial products. The investment is in equity and counts towards your LRS limit.

Do I need to travel to Dubai to set up the company?

Not for a Meydan licence, according to Meydan Free Zone: its India guide (updated 19 July 2026, checked 16 October 2026) says the company can be set up remotely, and that you visit Dubai for a residence visa or if your bank asks for in-person verification. For the residence visa, u.ae (checked 16 October 2026) says applicants aged 18 and over take a medical test, and that you might need to visit an ICP service centre for Emirates ID biometrics. Meydan also says PAN is not needed for a standard free zone setup, but in India the RBI's LRS Master Direction (para 16, checked 16 October 2026) makes PAN mandatory for the remittance that pays for it.

Do I need RBI approval to invest in a Dubai company?

No separate approval is needed if the investment fits the rules: the RBI Master Direction on Overseas Investment (updated as on 1 April 2026, checked 16 October 2026) allows it under the automatic route through your designated bank. You file Form FC, the bank obtains a Unique Identification Number, which the RBI says is not an approval, and you file an annual performance report by 31 December each year (OI Regulations, reg 10(4)). A case under the approval route goes through your bank to the RBI regional office, on the RBI's PRAVAAH portal (Master Direction, para 3(3)).

How much can I send abroad under LRS to start a company?

Up to USD 250,000 per financial year (April to March), according to the RBI's LRS Master Direction (checked 16 October 2026), and that includes your travel, gifts, studies abroad and other remittances in the same year. On LRS remittances of an amount, or aggregate of amounts, above ten lakh rupees, the bank collects tax at source at 20% for purposes other than education or medical treatment (Income Tax Department, Income-tax Act, 2025, section 394, checked 16 October 2026); section 394 does not say in terms whether this applies to the whole remittance or only the part above ten lakh rupees, so ask your bank what it will collect. Your bank may allow setup costs paid before the company exists as pre-incorporation expenses, once it is satisfied they are reasonable, up to USD 100,000 per foreign entity, counted towards your LRS limit (RBI Master Direction on Overseas Investment, para 27(6), checked 16 October 2026).

Can I run my Dubai company from India, and is it then taxed in India?

You can own it from India under the ODI rules, but where it is managed from decides its tax position. Under section 6(10) of the Income-tax Act, 2025 (Income Tax Department, checked 16 October 2026), a company is resident in India in a tax year if its place of effective management, where key management and commercial decisions are in substance made, is in India; the India-UAE treaty treats it as a UAE resident only if it is incorporated in the UAE and managed and controlled wholly there. The department's page on companies (last updated 30 April 2026) says its place of effective management guidelines do not apply to a company with turnover or gross receipts of INR 50 crore or less in a financial year (CBDT Circular No. 8 of 2017, issued under the 1961 Act), and how that applies under the 2025 Act is a question for your chartered accountant. Separately, a UAE residence visa generally lapses after more than 180 days in a row outside the UAE (u.ae, checked 16 October 2026), so check your visa with ICP if you will live mostly in India.

When do I become an NRI after moving to Dubai?

For Indian tax, you are non-resident in any tax year (April to March) in which none of the residence tests in section 6 of the Income-tax Act, 2025 applies (Income Tax Department, checked 16 October 2026). You are resident if you are in India 182 days or more in the tax year, or 60 days or more plus 365 days over the four years before; the 60-day test does not apply to a citizen leaving India for employment abroad, or to a citizen or person of Indian origin visiting India, though for a visitor whose total income other than from foreign sources exceeds fifteen lakh rupees it becomes 120 days. A citizen above that income level who is not liable to tax elsewhere by domicile or residence is deemed resident. For your bank accounts, the RBI defines an NRI as a person resident outside India who is a citizen of India, and works from the Foreign Exchange Management Act definition of residence (RBI Master Direction on Deposits and Accounts, paras 2.4 and 6.1).

Does India have a tax treaty with the UAE?

Yes, the India-UAE agreement for the avoidance of double taxation has been in force since 22 September 1993, and the Income Tax Department publishes it (checked 16 October 2026) with a synthesised text showing the multilateral convention changes, which apply in India from 1 April 2020. Article 4 sets residence: at least 183 days in the UAE in a calendar year for an individual, and for a company, incorporation in the UAE with management and control wholly there.
